Terms of Service

1. Acceptance of Terms
By accessing or using the Dumpster Controls platform ("Service"), operated by Dumpster Controls Inc. ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.
These Terms apply to all visitors, users, customers, and others who access or use the Service, including but not limited to dumpster rental operators, haulers, brokers, drivers, and their employees or contractors.
We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.
2. Description of Service
Dumpster Controls is a cloud-based software platform that provides dumpster rental management tools including, but not limited to: order management, dispatch scheduling, invoicing, customer management, financial reporting, online booking, website building, AI-powered operational assistance, and a B2B marketplace known as the Dumpster Network Hub.
The Service is provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the reliability, availability, or accuracy of the Service.
3. Account Registration and Security
To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for safeguarding the password used to access the Service and for all activities that occur under your account.
You agree to: (a) maintain the confidentiality of your account credentials; (b) immediately notify us of any unauthorized use of your account; (c) not share your account with third parties without authorization; and (d) not create accounts using false or misleading information.
We reserve the right to suspend or terminate accounts that violate these Terms, exhibit fraudulent activity, or pose a security risk to the platform or other users.
4. Pricing and Payment Terms
Dumpster Controls operates on a pay-per-order pricing model. New accounts receive an initial allocation of 50 complimentary orders ("Free Credits"). After the Free Credits are exhausted, a fee of $3.97 USD per completed order is charged.
All payments made to Dumpster Controls are final and non-refundable. This includes, but is not limited to, per-order fees, platform fees, marketplace transaction fees, and any other charges incurred through use of the Service. By using the Service, you acknowledge and agree that no refunds will be issued under any circumstances, including but not limited to service dissatisfaction, account termination, or business closure.
Failure to pay outstanding fees may result in account suspension, service degradation, or termination. We reserve the right to modify pricing with 30 days' written notice to active account holders.
5. Stripe Connect and Payment Processing
The Service integrates with Stripe Connect to facilitate payment processing between Users and their customers ("End Customers"). By using Stripe Connect through our platform, you agree to Stripe's terms of service in addition to these Terms.
Payment Dispute Policy (Chargebacks):
- When an End Customer initiates a payment dispute (chargeback) on a transaction processed through the platform, the disputed amount will be automatically debited from the seller's (dumpster company's) connected Stripe account immediately upon notification of the dispute.
- The debited amount will be held in reserve until the dispute is resolved by the card network and/or Stripe.
- If the dispute is resolved in favor of the seller, the held amount will be returned to the seller's connected account. If the dispute is resolved in favor of the End Customer, the amount will be permanently deducted.
- Dumpster Controls is not responsible for any losses incurred as a result of chargebacks, disputes, or fraudulent transactions initiated by End Customers.
- Sellers are solely responsible for maintaining adequate documentation (delivery photos, signed agreements, weight tickets) to support dispute responses.
- In the case of split payments or marketplace transactions through the Dumpster Network Hub, the full disputed amount will be deducted from the seller/broker's account regardless of any revenue splits or platform fees previously distributed. The seller/broker bears full financial responsibility for disputes arising from their customer relationships.
6. Dumpster Network Hub — Marketplace Terms
The Dumpster Network Hub is a B2B marketplace feature that connects dumpster rental companies for the purpose of buying and selling overflow work. By participating in the Hub, you agree to the following additional terms:
- Platform Fee: A 5% platform fee is applied to all marketplace transactions, calculated on the payout amount to the executor.
- Escrow: Payments are held in escrow until job completion is confirmed. Dumpster Controls acts solely as a payment facilitator and is not a party to the underlying service agreement between buyer and seller.
- Dispute Resolution: In the event of a dispute between marketplace participants, Dumpster Controls may mediate but is not obligated to do so. Our decision in any mediated dispute is final and binding.
- Liability: Dumpster Controls is not liable for the quality, safety, legality, or timeliness of services exchanged through the Hub. Each participant is independently responsible for their own operations, insurance, permits, and compliance.
- Verification: While we verify basic company information, we do not guarantee the accuracy of any participant's credentials, insurance status, or operational capabilities.
7. User Responsibilities
You are solely responsible for: (a) the accuracy and legality of data you enter into the Service; (b) compliance with all applicable local, state, provincial, national, and international laws and regulations; (c) maintaining appropriate insurance coverage for your business operations; (d) the actions of your employees, contractors, and drivers who access the Service through your account; and (e) the security and confidentiality of your End Customers' personal and financial information.
8. Intellectual Property
The Service and its original content, features, and functionality are owned by Dumpster Controls Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written consent.
You retain ownership of all data you upload to the Service. By uploading data, you grant us a limited, non-exclusive license to process, store, and display your data solely for the purpose of providing the Service to you.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DUMPSTER CONTROLS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) the Service;
- Any conduct or content of any third party on the Service;
- Unauthorized access, use, or alteration of your transmissions or content;
- Payment disputes, chargebacks, or fraudulent transactions;
- Service interruptions, downtime, or data loss;
- Any transactions conducted through the Dumpster Network Hub marketplace.
OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO DUMPSTER CONTROLS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to defend, indemnify, and hold harmless Dumpster Controls Inc. and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of and access to the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property, privacy, or property rights; (d) any dispute between you and your End Customers; or (e) any claim that your use of the Service caused damage to a third party.
11. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
You may terminate your account at any time. Upon termination: (a) all outstanding fees become immediately due and payable; (b) we may retain your data for a period of 30 days for backup and compliance purposes; (c) we are under no obligation to export or provide your data after the retention period.
No refunds of any kind will be issued upon account termination.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to a jury trial.
